Bace Membership Terms & Conditions

These Terms & Conditions (“Terms”) govern your membership with Bace (“Bace”, “we”, “our”, or “us”) and your use of the Bace website, mobile applications, and online services collectively, the “Platform”. By creating an account, purchasing a membership, or using the Platform, you agree to be bound by these Terms.

1. Definitions

“Bace”, “we”, “us”, or “our” refers to Bace Sport Coaching Services - FZCO, a company incorporated under the International Free Zone Authority (IFZA), United Arab Emirates.

“User” or “you” refers to any person accessing or using the Platform.

“Content” means all videos, workouts, programs, text, images, audio, and other materials made available on the Platform.

“Membership” means a paid or free plan granting access to Content.

2. Eligibility

To become a member, you must:

• Be at least 18 years of age, or have consent from a parent or legal guardian.
• Be legally capable of entering into a binding agreement.
• Provide accurate and complete registration information.

3. Health & Fitness Disclaimer, Medical Clearance & Assumption of Risk

You acknowledge and agree that:

• Physical exercise and strength training involve inherent risks, including serious injury or death.
• Bace does not provide medical advice and Content is not a substitute for professional medical guidance, diagnosis, or treatment.
• You are solely responsible for determining whether participation is appropriate for your health.
• You represent and warrant that you are physically and medically capable of participating in physical exercise.
• You voluntarily assume all known and unknown risks associated with participation, including injury, illness, complications related to pregnancy or postpartum recovery, or death.
• You participate entirely at your own risk, and Bace disclaims all liability to the fullest extent permitted by applicable law.

You agree to obtain medical clearance from a qualified healthcare professional before participating in any exercise program offered by Bace, particularly if you:

• Have any pre-existing medical condition.
• Have an injury or illness.
• Are pregnant or postpartum.

3.1 Pregnancy & Medical Conditions

If you are pregnant, postpartum, or managing any medical condition, you participate entirely at your own discretion and risk. Bace does not provide prenatal, postnatal, or medical supervision.

4. Accounts & Memberships

You are responsible for maintaining the confidentiality of your account credentials. Memberships are personal, non-transferable, and may not be shared.

4.1 Membership Plans & Billing

Membership plans may be offered on a monthly or annual basis. Pricing, inclusions, and billing frequency are displayed at checkout and may change from time to time.

Unless otherwise stated, memberships renew automatically at the end of each billing cycle unless cancelled prior to renewal.

4.2 Payment

Payments are processed via third-party payment providers. By purchasing a membership, you authorize Bace to charge the applicable fees using your selected payment method.

4.3 Failed or Rejected Payments

If a payment is declined, rejected, or otherwise fails to process for any reason, we may temporarily suspend or restrict access to the Platform until payment is successfully processed. You remain responsible for any outstanding amounts owed.

We reserve the right to retry failed payments using the payment method on file. Continued failure to process payment may result in cancellation or termination of your membership at our discretion.

4.4 Cancellations, Rejoining & Refunds

You may cancel your membership at any time. Access will continue until the end of the current billing period.

All payments are non-refundable, except where required by applicable law.

Your membership price is locked in at the rate in effect at the time you join and will remain the same for so long as you maintain an active, uninterrupted membership.

If you cancel and later rejoin, you will be subject to the membership pricing and plans available at the time of rejoining.

Bace may offer promotions, discounts, or rewards at its discretion. Such offers do not create an entitlement to future pricing and may be modified or withdrawn at any time.

5. Licence & Intellectual Property

All Content on the Platform is owned by or licensed to Bace. You are granted a limited, non-exclusive, non-transferable, revocable licence to access the Content for personal, non-commercial use only.

You may not copy, record, reproduce, distribute, modify, sell, or exploit any Content without prior consent from Bace.

6. Acceptable Use

You agree not to:

• Share login credentials or allow others to access your account.
• Use the Platform for unlawful, abusive, or harmful purposes.
• Record, redistribute, or commercially exploit any Content.
• Interfere with the security or operation of the Platform.

7. Community, Chats & User Conduct

If the Platform includes community features, such as comments, chats, or forums:

• Community spaces are provided for general discussion and peer support only.
• Information shared by coaches or other users does not constitute medical, professional, or individualized training advice.
• You remain solely responsible for how you apply any information obtained through community interactions.
• You agree to engage respectfully and constructively.
• Harassment, hate speech, misinformation, or spam is prohibited.
• Bace may moderate, remove content, or suspend accounts at its sole discretion.

8. Third-Party Services

The Platform may link to or integrate third-party tools or services. Bace is not responsible for the content, policies, or practices of third parties.

9. Termination

We may suspend or terminate your access to the Platform if you breach these Terms or misuse the Content. Upon termination, your right to access the Content will cease immediately.

10. Limitations of Liability

To the maximum extent permitted by applicable UAE law:

• You acknowledge that physical training and exercise carry inherent risks, including serious injury, permanent disability, complications related to pregnancy or postpartum recovery, or death.
• You confirm that you have obtained appropriate medical clearance where required and that you assume full responsibility for your health and participation.
• Bace Sport Coaching Services - FZCO, its directors, officers, employees, contractors, coaches, and partners shall not be liable for any injury, loss, damage, or claim arising from your use of the Platform or participation in the Content.
• Bace shall not be liable for indirect, incidental, consequential, or punitive damages.
• Bace’s total aggregate liability shall not exceed the total amount paid by you to Bace in the twelve (12) months preceding the event giving rise to the claim.

11. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, with exclusive jurisdiction of the courts of Dubai, UAE.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
